PART A — TRADE AND PROJECT TERMS

These terms apply to business customers and to all quoted, bespoke, made-to-order and project work, including FF&E and OS&E procurement and Collection pieces.

Orders will only be placed once payment of the amount due has been received. Unless previously agreed in writing, cancellation and/or alterations to an order cannot be accepted after 48 hours from receipt of order. Where goods are made to order, returns will not be accepted for any reason without prior consent in writing from Studio Thirty Three Ltd. Studio Thirty Three Ltd cannot accept responsibility for any delays in the delivery time beyond our reasonable control.

A1. QUOTATIONS

Quotations are valid for 30 days from the date of issue. Prices may change after this period to reflect supplier pricing.

A2. PAYMENTS

A2.1: Quoted lead time(s) will commence from receipt of payment of the amount due.

A2.2: Supplier orders will only be placed once the payment has been received.

A2.3: Unless agreed otherwise, a deposit of 50% is payable on order. Orders are held until the deposit has been received, and the order process begins once payment has cleared. Payment terms can be discussed on a project-by-project basis.

A2.4: Payments made by cheque shall be treated as received only once the cheque has cleared.

A2.5: Any balance payments are required to be paid in full two weeks prior to the end of the stated completion date.

A2.6: Full payment must be received as per pre-agreed payment terms.

A2.7: Where credit terms are agreed, invoices are payable within 30 days of the invoice date. We reserve the right to charge interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.

A3. DELIVERY

A3.1: Unless previously stipulated in writing, all delivery charges are based on a ground floor delivery within the M25, with good access and parking. Any modification to the delivery, resulting in variation to the previously agreed delivery method will incur additional charges.

A3.2: If delays are experienced on site, additional charges may be applicable.

A3.3: If you are unable to accept delivery of your order within a two-week period from the date of arrival at our warehouse, weekly storage and insurance charges will apply.

A3.4: In the event a booked delivery needs to be rescheduled, we must be informed no later than 48 hours prior to the intended delivery. Failure to do so may incur additional charges.

A3.5: Delivery attempts that have failed, through no fault of Studio Thirty Three Ltd or our external delivery team, will constitute a delivery. Any additional costs associated with this delivery attempt will be chargeable, along with any subsequent deliveries.

A3.6: If your project is delayed and you require an amendment to your installation date, please inform us as soon as possible. We will do all we can to postpone delivery from our supplier(s), however if we are unable to reschedule, the aforementioned delivery dates and storage charges will apply.

A3.7: The responsibility for checking access rests with the client. By placing this order, you confirm that the goods specified will fit into the property and the intended room (allowing for any restrictions like staircases, lifts, tight turns etc.).

A3.8: Any damage must be reported upon receipt of goods and the delivery team must be informed, noting this clearly on the paperwork.

A4. SAMPLES AND NATURAL MATERIALS

Samples and finishes are representative only. Natural materials and hand finishing vary in grain, tone and texture between batches and pieces, and such variation is not a defect.

A5. WARRANTY

A5.1: All products are covered by the standard warranty offered by the manufacturer for its intended application only. Liability for any faulty product lies with the manufacturer. Studio Thirty Three Ltd will do everything in its power to help facilitate the replacement or repair if the damage is covered by the manufacturer’s standard warranty.

A6. LIABILITY AND GOVERNING LAW

Our total liability under any order is limited to the price paid for that order, except where liability cannot legally be limited. We are not liable for indirect or consequential losses, including loss of profit. These terms are governed by the law of England and Wales.

IMPORTANT NOTICE

All goods remain the property of Studio Thirty Three Ltd until the payment has been made in full.

Studio Thirty Three Ltd will not enter into a contract to supply goods until the specification is confirmed in writing by the buyer. Signed receipt of our quotation / written specification confirms the buyer’s full acceptance of Studio Thirty Three Ltd’s general terms and conditions of sale.

PART B — ONLINE TERMS OF SALE (THE EMPORIUM AND LETTERS FROM)

These terms apply when you buy goods from us through our website as a consumer, including Emporium products and Letters From pre-orders. Bespoke, quoted and trade work is covered by Part A.

B1. ABOUT US

Studio Thirty Three Ltd is a company registered in England and Wales. Company number: 12393869. Registered office: Willowbrook, The Green, Biddestone, Wiltshire, SN14 7DG. VAT number: GB 358 4680 61.

Contact us at emporium@studiothirtythree.com for orders, or projects@studiothirtythree.com and collection@studiothirtythree.com for other enquiries.

B2. YOUR ORDER AND OUR CONTRACT

Online orders will only be placed once payment of the amount due has been received. After you order, we will email you to acknowledge it. Our contract with you begins when we email to confirm your order has been accepted. We may decline an order, for example if an item is no longer available or has been mispriced; if so, we will tell you and refund any payment in full.

B3. PRICES AND PAYMENT

All prices are shown in pounds sterling (GBP) and include VAT at the current rate where applicable. Delivery charges are shown separately at checkout before you pay. If we discover an obvious pricing error, we will contact you before accepting your order.

Payment is taken in full at checkout by the payment methods shown. Quoted lead time(s) will commence from receipt of payment of the amount due.

B4. DELIVERY

We deliver to the UK mainland. For delivery addresses outside the UK mainland, please contact us and we will reply with a dedicated shipping quotation. Estimated delivery times are shown on each product page and in your order confirmation. Unless we agree otherwise, we will deliver without undue delay and within 30 days of accepting your order.

Unless previously stipulated in writing, delivery charges for large items are based on a ground floor delivery with good access and parking. Delivery charges for addresses outside the M25 are calculated on a case-by-case basis. Any modification to the delivery, resulting in variation to the previously agreed delivery method will incur additional charges, which we will agree with you in advance. Please tell us at checkout about access at your delivery address, such as stairs without a lift, narrow doorways or restricted parking. If access needs special handling, we will contact you before delivery to agree the arrangements.

If you are unable to accept delivery of your order within a two-week period from the date of arrival at our warehouse, weekly storage and insurance charges will apply, subject to confirmation of our latest rates at the time of order.

In the event a booked delivery needs to be rescheduled, we must be informed no later than 48 hours prior to the intended delivery. Failure to do so may incur additional charges.

Delivery attempts that have failed, through no fault of Studio Thirty Three Ltd or our external delivery team, will constitute a delivery. Any additional costs associated with this delivery attempt will be chargeable, along with any subsequent deliveries.

The responsibility for checking access rests with the customer. By placing an order, you confirm that the goods will fit into the property and the intended room (allowing for any restrictions like staircases, lifts, tight turns etc.). Measurements are given on each product page; please contact us before ordering if you are unsure.

The goods become your responsibility from the time they are delivered to you or to someone you nominate. Ownership passes to you once we have received full payment.

B5. YOUR RIGHT TO CANCEL

If you are a consumer, you have the right to cancel your order within 14 days, starting the day after you receive the goods, without giving a reason. To cancel, email emporium@studiothirtythree.com with your name, order number and the items you wish to cancel. You may use the model cancellation form below, but you do not have to.

This right does not apply to goods made to your specifications or clearly personalised, including bespoke or made-to-order pieces. Where goods are made to order returns will not be accepted for any reason without prior consent in writing from Studio Thirty Three Ltd, unless they are faulty or not as described.

B6. RETURNS AND REFUNDS

If you cancel, please return the goods within 14 days of telling us, unused and in their original condition and packaging where possible. The cost of returning goods is paid by you. Alternatively, we can collect the goods for a charge, calculated on a case-by-case basis. You are responsible for the goods until they reach us, so please pack them carefully.

We will refund the price and standard outbound delivery charge within 14 days of receiving the goods back, or of receiving evidence that you have sent them, whichever is sooner, using your original payment method. We may reduce the refund if the goods have been handled more than necessary to inspect them.

B7. FAULTY, DAMAGED OR INCORRECT GOODS

You have legal rights under the Consumer Rights Act 2015: goods must be of satisfactory quality, fit for purpose and as described. If goods are faulty, you may be entitled to a repair, replacement or refund, including a full refund if you reject them within 30 days of delivery. Nothing in these terms affects these rights.

Any damage should be reported upon receipt of goods and the delivery team informed, noting this clearly on the paperwork. Please also email us with photographs within 48 hours so we can resolve it quickly. This helps us act fast; it does not limit your legal rights.

B8. VINTAGE AND PRE-OWNED ITEMS

Many Emporium pieces are vintage or pre-owned. They may show signs of age, use or wear consistent with their age, such as marks, patina or minor repairs. We describe and photograph each item’s condition as accurately as we can. Wear that has been described or shown does not make an item faulty.

B9. HANDMADE AND NATURAL MATERIALS

Some pieces are finished by hand or made from natural materials such as wood, stone and leather. Grain, tone and texture vary naturally between examples and may differ slightly from photographs. Colours can also appear differently on screen. This natural variation is part of the character of each piece and is not a fault.

B9A. EX-DISPLAY, SAMPLE AND ONE-OFF ITEMS

Ex-display, sample and end-of-line items are sold as seen and may show minor marks from display. Any known wear is described on the product page. This does not affect your legal rights if an item is faulty in a way that was not described.

B9B. OFFERS AND DISCOUNT CODES

Offers and discount codes are subject to their stated terms, cannot be combined unless stated, and may be withdrawn at any time. They cannot be applied to orders already placed.

B10. PRE-ORDERS (LETTERS FROM)

Pre-ordered items are paid for when ordered and dispatched once published. We will confirm the expected dispatch date in writing. If publication is delayed, we will tell you and you may cancel for a full refund. You may cancel a pre-order at any time before dispatch for a full refund.

B11. MANUFACTURER WARRANTIES

All products are covered by the standard warranty offered by the manufacturer for its intended application only, where one applies. Studio Thirty Three Ltd will do everything in its power to help facilitate the replacement or repair if the damage is covered by the manufacturer’s standard warranty. Any manufacturer warranty is in addition to, and does not replace, your legal rights set out in section B7.

B12. OUR RESPONSIBILITY TO YOU

If we fail to comply with these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach. We are not responsible for loss that was not foreseeable, or for business losses; our goods are sold for domestic and private use. We do not exclude liability where it would be unlawful to do so, including for death or personal injury caused by our negligence, fraud, or breach of your legal rights.

B13. EVENTS OUTSIDE OUR CONTROL

Studio Thirty Three Ltd cannot accept responsibility for any delays in the delivery time beyond our reasonable control. If this happens, we will contact you as soon as possible, and you may cancel for a full refund if the delay is significant.

B14. YOUR PERSONAL INFORMATION

We use your personal information only as set out in our Privacy Policy, available on our website.

B15. COMPLAINTS

If you have a complaint, please email emporium@studiothirtythree.com. We aim to respond within 5–10 working days.

B16. GENERAL

We may update these terms from time to time; the terms in force when you place your order will apply. These terms are governed by the law of England and Wales. If you live in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
